5. SMS Messaging Terms

A. SMS Program Description

Verbatim AI and its customers may use SMS or text messaging features in connection with business communications, workflow automation, customer support, notifications, appointment reminders, follow-ups, account-related alerts, and other service-related or operational messaging use cases.

Message frequency may vary depending on the applicable workflow, user activity, customer relationship, and business process.

B. Consent to Receive Messages

By providing a mobile phone number and opting in where required, you consent to receive text messages from Verbatim AI or from businesses using Verbatim AI’s services, subject to applicable law and consent requirements.

Consent to receive text messages is not a condition of purchase unless explicitly stated otherwise.

C. Opt-Out Instructions

After you send STOP, you may receive a final message confirming that you have been unsubscribed. After that, you should no longer receive SMS messages from that specific messaging program unless you opt in again.

THE SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. TO THE MAXIMUM EXTENT PERMITTED BY LAW, VERBATIM AI DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, OR RELIABILITY.

We do not warrant that the Services will be uninterrupted, error-free, secure, or fully accurate, or that messages or calls will always be delivered successfully.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, VERBATIM AI AND ITS AFFILIATES, OFFICERS, EMPLOYEES, CONTRACTORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATED TO THE SERVICES OR THESE TERMS.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE AMOUNT PAID BY YOU TO VERBATIM AI FOR THE SERVICES GIVING RISE TO THE CLAIM DURING THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY.

15. Indemnification

You agree to defend, indemnify, and hold harmless Verbatim AI and its affiliates, officers, employees, contractors, and service providers from and against any claims, liabilities, damages, judgments, losses, costs, and expenses, including reasonable attorneys’ fees, arising out of or related to:

your use of the Services;

your data, content, communications, or workflows;

your violation of these Terms; or

your violation of any law, regulation, or third-party right.

16. Changes to the Services or Terms

We may modify the Services or these Terms from time to time. If we update these Terms, we will post the revised version and update the effective date above. Your continued use of the Services after the updated Terms become effective constitutes acceptance of the revised Terms.
